The Senior Counsel will assist the General Counsel in a variety of legal matters to support the company’s overall objectives. This individual will work closely with the organization’s business units, including project development, asset management, finance, and investor relations.

This role is based in Sunwealth’s Cambridge office, near Porter Square. We work on a hybrid schedule with three (3) days per week in the office.

 

KEY RESPONSIBILITIES

 

  • Provide legal support to the company’s development, finance, and asset management teams related to the financing, construction, and operation of solar and battery storage projects.
  • Structure, draft, and negotiate various purchase and sale agreements and other documents associated with the acquisition and sale of solar and battery storage projects.
  • Review, draft, and effectively negotiate loan agreements, promissory notes, security agreements, and documents associated with the financing of solar and battery storage projects.
    Perform and assist with transaction-related due diligence for private placement financing and project acquisitions.
  • Assist the General Counsel in structuring and drafting joint venture agreements and other highly-tailored documents with strategic partners.
  • Collaborate with, and advise, cross-functional teams to ensure legal compliance and risk management.
  • Support junior members of the legal team with federal and state regulatory filings, multi-state research, and developing and maintaining various legal templates, forms, and communications to enhance the delivery and scalability of legal resources.

DESIRED TRAITS/QUALIFICATIONS

 

  • Juris Doctor from an accredited law school and membership/good standing in at least one state bar.
  • 5-7 years prior legal experience in a law firm or in-house role.
  • Significant experience in drafting and negotiating a variety of corporate/commercial contracts (bonus if you have experience in project finance or commercial lending).
  • Experience in, or eagerness to learn, renewable energy finance and development.
  • Excellent problem solving and communication skills and the ability to balance business goals with appropriate levels of risk mitigation.
  • Comfortable working independently and managing multiple priorities in a small, fast-paced environment.
  • Desire to take ownership of work, follow through on tasks and action orientated.
